📜 MuseGen.ai – Commercial License Terms

Effective Date: June 17, 2026

These Commercial License Terms ("License") govern the commercial use of music, audio, and related assets ("Works") generated by you using MuseGen.ai. This License supplements, and is part of, the MuseGen.ai Terms of Service.

1. Grant of License

Subject to your compliance with this License and an active eligible subscription at the time the Work was generated, MuseGen.ai grants you a worldwide, perpetual, royalty-free, non-exclusive license to use, reproduce, distribute, publicly perform, and create derivative works from the Works you generate, for both personal and commercial purposes.

2. Per-Work Certificate

Each eligible Work can be accompanied by a Commercial License Certificate identifying the licensee, the Work, a unique certificate number, and the issue date. The certificate is evidence of the rights granted under this License for that specific Work. The rights themselves arise from this License and your subscription, not from the certificate alone.

3. Permitted Uses

You may, without paying additional royalties:

• Use Works in monetized videos, films, games, apps, podcasts, and advertisements.
• Distribute Works as part of a larger product or creative project.
• Use Works in client and commissioned work, provided the underlying rights remain with you.
• Monetize content containing the Works on platforms such as YouTube, Spotify, TikTok, and similar services.

4. Restrictions

You may not:

• Resell, license, or distribute a Work as a standalone music file or sound library where the primary value is the Work itself.
• Claim that the Work was composed by a human, or register it with a Content ID / rights-management system in a way that blocks other MuseGen.ai users from using their own Works.
• Use the Works for unlawful, defamatory, or infringing purposes.
• Represent that MuseGen.ai endorses you, your brand, or your project.

5. Ownership & Attribution

You retain ownership of the Works you generate, subject to this License. Attribution to MuseGen.ai is appreciated but not required. MuseGen.ai retains all rights in its models, software, and platform.

6. Eligibility & Term

Commercial rights apply to Works generated while you hold an eligible subscription. Works generated under a free or pay-as-you-go plan are licensed for personal, non-commercial use only unless otherwise stated. Rights validly granted for a Work survive the expiration of your subscription for that Work, provided this License was not terminated for breach.

7. Termination

This License terminates automatically if you materially breach these terms. Upon termination, you must cease using the affected Works, except where continued use is required by an irrevocable third-party agreement entered into in good faith before termination.

8. Disclaimer & Liability

The Works are provided "as is" without warranties of any kind. To the maximum extent permitted by law, MuseGen.ai is not liable for any indirect, incidental, or consequential damages arising from your use of the Works.
